Agreement to Terms
By accessing or using Orbit IDE and Vexelity AI services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
Use of Services
Eligibility
You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services.
Account Registration
You must create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to update it as necessary.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

Subscription and Payment
Pricing
Certain features of the Services require a paid subscription. Current pricing is available on our website and may be changed at any time with notice.
Billing
By purchasing a subscription, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date. You are responsible for all charges incurred under your account.
Refunds
We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of the initial purchase. Refunds are not available for renewal charges or after the guarantee period expires.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. No refunds will be provided for partial periods.
Intellectual Property
Our Content
The Services, including the Orbit IDE software, website content, logos, trademarks, and documentation, are owned by Vexelity AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Your Content
You retain all rights to the code, projects, and content you create using the Services. By using our AI features, you grant us a limited license to process your content to provide the Services. We do not claim ownership of your work.
AI-Generated Content
Code and suggestions generated by our AI models are provided as-is. While you may use AI-generated content in your projects, you are responsible for ensuring it meets your requirements and does not infringe third-party rights.
AI Services and Limitations
Our AI-powered features are designed to assist with coding tasks. However, AI models can make mistakes, produce inaccurate results, or generate code with bugs or security vulnerabilities. You should:
- •Review and test all AI-generated code before use
- •Not rely solely on AI for critical or security-sensitive code
- •Verify that AI suggestions comply with relevant licenses and regulations
Privacy and Data

Disclaimers and Warranties

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content or AI-generated output.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXELITY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Vexelity AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease. You may also terminate your account at any time through your account settings.
Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) will remain in effect after termination.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
Dispute Resolution

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Vexelity AI is registered, without regard to its conflict of law provisions.
Arbitration
Any dispute arising from these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property disputes.
General Provisions
- •Entire Agreement: These Terms constitute the entire agreement between you and Vexelity AI
- •Severability: If any provision is found invalid, the remaining provisions remain in effect
- •Waiver: Failure to enforce any provision does not waive our right to do so later
- •Assignment: You may not assign these Terms without our consent
